General Business Law

McCarthy Fingar lawyers represent a wide variety of both domestic and foreign-based clients in various industries in such matters as new incorporations and new business organizations for startup companies, shareholder agreements, partnership agreements, franchise agreements, intellectual property rights licensing, employment agreements, stock option plans, mergers & acquisitions, marketing and distribution arrangements, pension and retirement plans, and complex contractual matters. Corporate Finance & Securities Law

The capital transactions in which the firm is involved consist of initial and secondary public offerings of equity and debt instruments registered under the Federal Securities Act and state blue-sky laws, venture capital investments in private placements, Regulation D, Rule 144 and Rule 144A transactions, and sale/leasebacks in domestic and international markets. Transactions include stock exchange listings and, for certain foreign issuers, arranging American Depository Receipts. Our attorneys are also involved in assisting corporations with securities law reporting requirements and complying with a variety of federal, state, and regulatory body laws and rules in such matters as employment issues, proxy statements, 10Ks, 10Qs, stock transfers, disclosure issues, broker-dealer compliance, investment advisor and investment company compliance, and stock exchange NASDQ and NASB rules. Our attorneys represent clients in securities industry arbitration proceedings such as those conducted by the Financial Industry Regulatory Authority. Representative clients include securities underwriters, securities broker-dealer firms, investment advisors, investment companies, and issuers of securities. McCarthy Fingar also prepares and submits EDGAR filings for our corporate clients through the EDGARlink ™ software distributed by the Securities and Exchange Commission (SEC). This capability applies to EDGAR filings under, among other laws, the U.S. Securities Act of 1933 (e.g. securities registration statements), the U.S. Securities Exchange Act of 1934 (e.g. annual and quarterly reports of public companies), the Investment Company Act of 1940 (e.g. investment company registration statements) and the Williams Act (e.g. Form 13D Filings). We also prepare and consult on Internet filings of Form BD for securities broker-dealers through Web-CRD and on-line filings of Form ADV for securities investment advisers through the Investment Advisors Registration Depository (IARD).

Banking Law

Our lawyers work with financial institution clients on general corporate legal, regulatory, and compliance matters. We are also involved in the legal aspects of marketing non-traditional bank products through federally and state chartered commercial banks, thrifts, and credit unions. Representative clients include banks, third party bank marketing firms, and firms providing non-traditional bank product back office systems and related consulting services working with major regional and local banks, thrifts and credit unions throughout the United States.

Hedge Funds

Our lawyers represent a number of private investment limited partnerships – popularly known as hedge funds. Work done in this area includes advice on formation and structuring, federal and state securities law compliance, and preparation and filing of offering materials such as partnership agreements and private placement memoranda and subscription agreements. Our lawyers also counsel clients on using third party escrow arrangement as to the legal effectiveness of the hedge fund. Attorneys in the firm are active with the Hedge Fund Association and Alternative Investments Compliance Association. 

E-Business

The explosion in business being conducted over the internet has greatly impacted our practice. Virtually all of our business clients have been affected in such matters as websites, on-line advertising and contracting, the impact of B to B’s, on-line disclosures, electronic data privacy, and concerns facing ISP’s and their subscribers. We have frequently been called upon to give advice to our clients concerning such matters.

We have worked with a number of corporate clients on digitalization of their contracting and record keeping processes following such initiatives as the federal ESIGN (Electronic Signatures in Global and National Commerce Act) legislation that became law on June 30, 2000.

We also make extensive use of the Internet in conducting our business with our corporate and individual clients. We recognize that privacy is a concern to our clients and have received inquiries regarding encryption of messages sent over the Internet. For most matters information can be transmitted over the Internet in unencrypted form because there is a reasonable expectation of privacy for messages sent over the Internet. However, for clients or situations demanding a higher degree of security, the firm has successfully deployed public key/private key encryption technology in sending and receiving confidential client information over the Internet. We have found Internet technology to be a reliable and cost efficient way to conduct business with our corporate clients and we maintain a high-bandwidth DSL line for this purpose.

Multi State Law

While the attorneys in the Corporate & General Business practice group are admitted in New York, Connecticut, New Jersey, and Florida, they regularly deal with business formations and corporate law matters of Delaware and other states and are called upon to deal with the statutes of any state in such areas as, for example, mergers and employment laws.

Kiggins and Howell Bramson, both members of our Corporate and Taxation groups, have authored the United States chapter to a book edited by Roy Saunders, of International Fiscal Services, based in London, entitled “International Tax Systems and Planning Techniques”. The book covers the tax laws of over 30 countries, including most of the European Union, portions of Asia and Eastern Europe, the United States, Brazil and Canada, and a number of offshore tax havens. The purpose of the book is to assist in the tax analysis of cross border transactions and investments.

Commercial Litigation – Corporate & General Business – Breach of Contract – Non-Compete Clause

Our firm’s Commercial Litigation and Corporate & General Business groups sometimes team up for our clients. Here, James K. Landau and Douglas S. Trokie successfully represented our clients who had sold their business to defendants, only to have defendants default under a settlement agreement amending a prior stock purchase agreement, consulting agreement and a non-compete and non-solicitation agreement. We commenced an action for breach of contract as well as for a judgment declaring that that our clients had no further obligations to defendants under both of the non-compete and settlement agreements due to defendants’ breach. In an effort to get more leverage, defendants interposed a frivolous counterclaim and interposed improper disclosure demands that sought to impose burdens on plaintiffs that were greater than those imposed by the CPLR and Commercial Division Rules. A settlement favorable to our clients was obtained after we moved to dismiss the counterclaims and for sanctions.

As the owners of a small corporation get older and approach retirement age, our business lawyers often work with clients to develop a plan to transfer control and decision-making duties to the next generation of shareholders. Here, Douglas Trokie was able to reorganize the officers and board of directors of the corporation to permit the shareholders’ children to have greater legal responsibility. As part of his work, Doug also updated the corporate minutes and by-laws in connection with the reconstituted Board and Officers. He also helped develop and draft policies for employee retention and employment agreements, so as to provide for a smooth transition of power from one generation to the next, to help ensure that the income stream of the corporation would not be adversely affected.

Inbound investments into the United States from abroad can be subject to unduly high taxes, both in the country of origin and in the United States. With proper planning and structuring, our Corporate and Tax lawyers can help in minimizing such taxes. Here, Howell Bramson and Robert J. Kigginsbb represented a group of foreign investors who invested in a Tony Award winning Broadway show. Howell and Bob recommended forming a corporate ownership structure for the investors that was designed to limit their taxes both in the U.S. and the country of origin (the United Kingdom). Later on, the US Company invested in a second theatrical release, which opened on Broadway to rave reviews in April, 2012.

Gleit represented one of our banking clients in restructuring a defaulted corporate loan. As part of their work, Joe and Milt negotiated and documented the bifurcation and restructure of a series of defaulted term loans. The creative outcome was that fifty percent of the total debt was consolidated into a single new term loan; and the remaining fifty percent was converted into a preferred equity position in the restructured borrower.
